Welcome to Creshopi. These Terms of Service ("Terms") govern your access to and use of the website located at creshopi.com (the "Site") and any services, software, or products offered by Creshopi, Inc. ("Creshopi," "we," "us," or "our") (collectively, the "Services").

Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age, have the legal authority to enter into these Terms, and are not prohibited from doing so under applicable law. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Account Registration and Waitlist

To join the waitlist, you must provide a valid email address. You are responsible for maintaining the confidentiality of any account credentials. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at security@creshopi.com.

Joining the waitlist does not guarantee access to the Services, early pricing, or any specific features. We reserve the right to modify waitlist benefits at any time.

3. Description of Services

Creshopi is a cloud-based e-commerce platform that enables merchants to create, operate, and grow online stores. The Services include a store builder, payment processing, analytics tools, marketing features, and related functionality. The Services are offered on a subscription basis upon public launch.

The Services are currently in pre-launch stage. Features described on the Site represent our planned offering and may change before or after launch. We make no guarantees about the availability of specific features at launch.

You agree not to use the Services to:

Creshopi reserves the right to remove content and suspend or terminate accounts that violate these restrictions without prior notice.

6. Intellectual Property

Creshopi's IP: The Services, including all software, content, trademarks, and materials, are owned by Creshopi and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our express written permission.

Your content: You retain ownership of all content you upload or create using the Services ("Merchant Content"). By uploading Merchant Content, you grant Creshopi a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely as necessary to provide the Services.

Feedback: If you submit feedback or suggestions about the Services, Creshopi may use this feedback without restriction and without any obligation to you.

7. Payment and Billing

Upon launch, paid plans will be billed in advance on a monthly or annual basis. Subscription fees are non-refundable except as required by applicable law or as stated in our refund policy. We reserve the right to change pricing with 30 days' notice. If you do not cancel before the price change takes effect, your continued use constitutes acceptance of the new pricing.

All fees are exclusive of taxes. You are responsible for all applicable taxes and duties. We may suspend or terminate your account for non-payment.

8. Termination

You may cancel your account at any time from your account settings. Creshopi may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination: your right to use the Services ceases immediately; we may delete your data after a reasonable period (typically 30 days); and any provisions of these Terms that should survive termination will continue to apply.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FEATURES DESCRIBED ON THE SITE MAY NOT BE AVAILABLE AT LAUNCH.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRESHOPI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT SHALL CRESHOPI'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CRESHOPI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Creshopi and its officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of the Services; your Merchant Content; your violation of these Terms; or your violation of any applicable law or the rights of any third party.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules, in San Francisco, California. Each party waives its right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on the Site. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

14. Miscellaneous

These Terms constitute the entire agreement between you and Creshopi regarding the Services. If any provision is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign your rights under these Terms without our prior written consent. Creshopi may assign its rights without restriction.
